Welcome to the general terms and conditions of Haringboer.nl. On this page, you will find all the rights and obligations that apply to your purchases with us. Article 1: Definitions
- Haringboer.nl, located in Zwolle, Chamber of Commerce number 66000823, is referred to in these terms and conditions as the seller.
- The party contracting with the seller is referred to as the buyer.
- The parties are the seller and the buyer together.
- The agreement refers to the purchase agreement between the parties.
Article 2: Applicability of the General Terms and Conditions
- These terms and conditions apply to all offers, proposals, agreements, and deliveries of goods or services by or on behalf of the seller.
- Any deviations from these terms and conditions can only be made if agreed upon expressly and in writing by the parties.
Article 3: Payment
- The full purchase price must be paid immediately when ordering from the online store. For reservations, a deposit may be requested. The buyer will receive a confirmation of the reservation and the advance payment.
- If the buyer does not pay on time, they are in default. The seller may suspend their obligations until the buyer fulfills their payment obligation.
- If the buyer remains in default, a collection procedure will be initiated. The costs of this procedure are the responsibility of the buyer and will be calculated according to the Decree on the reimbursement of extrajudicial collection costs.
- In the event of liquidation, bankruptcy, seizure, or suspension of payment by the buyer, all claims of the seller become immediately due and payable.
- If the buyer refuses to cooperate in the execution of the order, the obligation to pay remains in effect.
Article 4: Offers, Proposals, and Prices
- Offers are non-binding, unless a specific acceptance period is stated. If the offer is not accepted within the timeframe, it expires.
- Delivery times in proposals are indicative and do not entitle the buyer to dissolution or compensation, unless otherwise agreed in writing.
- Offers and proposals do not automatically apply to follow-up orders. This must be agreed upon separately in writing.
- The prices in offers and invoices include VAT and any other government levies.
Article 5: Right of Withdrawal
- Consumers have the right to cancel the agreement within 30 days of receipt without giving any reason. The withdrawal period begins upon receipt of the complete order.
- Return shipping costs are the responsibility of the buyer.
- The right of withdrawal does not apply to customized products.
- Cancellation of the purchase can be done via the "Exchange or Return" page.
- During the withdrawal period, the buyer must handle the product and packaging carefully. If the right of withdrawal is exercised, the buyer must return the product unused and undamaged, including all delivered accessories, in the original packaging.
Article 6: Modification of the Agreement
- If modifications are necessary for the proper execution of the agreement, the parties will amend the agreement in consultation.
- Modifications may affect the completion time. The seller will inform the buyer as soon as possible.
- The financial and qualitative consequences of modifications will be communicated in writing in advance.
- If a fixed price has been agreed, the seller will indicate if the modifications will result in an additional cost.
- The seller cannot charge extra costs if the modifications were caused by the seller.
Article 7: Delivery and Transfer of Risk
- The risk passes to the buyer as soon as the goods are received by the buyer.
- The products delivered by the seller are carefully designed for securing tents and similar applications. The seller is not responsible for any damage resulting from the failure of these products, including damage to property, personal injury, or other indirect costs. The use of the products is entirely at the buyer's own risk. The buyer is advised to check the products for defects before use.
Article 8: Inspection and Complaints
- The buyer must inspect the delivery immediately for quality and quantity.
- Complaints regarding damage, shortages, or loss must be reported in writing within 10 days of delivery.
- The seller may choose between repair, replacement, or crediting in the case of valid complaints.
- Complaints about specific products do not affect other parts of the agreement.
Article 9: Delivery
- Delivery is made "ex warehouse."
- The buyer is obligated to accept the goods at the agreed time.
- Delivery costs are listed separately, unless otherwise agreed.
- The delivery time begins after receipt of the necessary information from the buyer.
- Delivery times are indicative and not considered as strict deadlines.
- Partial deliveries are allowed and will be invoiced separately.
Article 10: Force Majeure
- The seller is not liable for any damage caused by force majeure.
- Force majeure includes unforeseen circumstances such as war, natural disasters, strikes, and disruptions by suppliers.
- Obligations are suspended in case of force majeure. After 30 days, the agreement may be terminated in writing.
- In the case of prolonged force majeure (>3 months), the buyer may immediately terminate the agreement.
Article 11: Assignment of Rights
- Rights arising from the agreement may only be transferred with the written consent of both parties.
Article 12: Retention of Title and Right of Retention
- Goods remain the property of the seller until full payment is made.
- Work is suspended in the event of non-payment.
- The seller insures the goods until delivery.
- The right of retention applies in the case of non-payment of advance payments.
- In the case of the buyer's bankruptcy, obligations become immediately due and payable.
Article 13: Liability
- Liability is limited to the insured amount, plus the excess.
- Exceptions apply in cases of intent or gross negligence by the seller.
Article 14: Obligation to Report Complaints
- Complaints must be reported immediately and described as accurately as possible.
- In the case of valid complaints, the seller will repair or replace the goods.
Article 15: Warranties
- The seller guarantees that the goods comply with the agreement and are suitable for their intended use, for a period of one year.
- The warranty does not apply in the case of improper use or modifications without permission.
- The warranty for third-party supplied goods is limited to the warranty provided by the manufacturer.
Article 16: Applicable Law
- Dutch law is applicable to all agreements.
- The United Nations Convention on Contracts for the International Sale of Goods is excluded.
- Invalidity of one provision does not affect the validity of the other provisions.
